Welcome to Vendcite! By accessing or using our website and mobile app (“Vendcite” or “the Platform”), you agree to these Terms & Conditions. Please read them carefully.

1. Acceptance of Terms

  • 1.1. These Terms apply to all visitors, users, and buyers (“you”, “your”) who access or use Vendcite.
  • 1.2. By using Vendcite, you confirm that you accept these Terms in full. If you do not agree, you must not use the Platform.

2. Eligibility

  • 2.1. You must be at least 18 years old to use Vendcite.
  • 2.2. If you are using the Platform on behalf of a business or organization, you confirm that you have the authority to do so and bind the relevant entity to these Terms.

3. Accounts & Registration

  • 3.1. Certain features may require you to register for an account. You must provide accurate and complete information.
  • 3.2. You are responsible for keeping your account credentials confidential. Vendcite is not responsible for any unauthorized activity caused by failure to protect your credentials.
  • 3.3. You may close your account at any time by contacting support.

4. Buying on Vendcite

  • 4.1. Vendcite acts solely as a platform to connect buyers and third-party sellers. Vendcite is not a party to the sale unless explicitly stated.
  • 4.2. When you place an order, your contract is directly with the seller. All transactions, communications, and negotiations are between you and the seller.
  • 4.3. Buyers and sellers can communicate directly through WhatsApp or the in-app chat to discuss orders, products, or any other details.
  • 4.4. You agree to pay all amounts due for products, including any applicable shipping fees or taxes as specified by the seller.

5. Payment

  • 5.1. All payments for products are made directly between buyers and sellers. Vendcite does not process, hold, or guarantee any payments unless explicitly stated.
  • 5.2. You are responsible for ensuring your payment method is secure and that you comply with all applicable laws when making payments to sellers.
  • 5.3. Vendcite is not responsible for any payment disputes, chargebacks, or losses arising from transactions between buyers and sellers.

6. Delivery & Logistics

  • 6.1. Delivery of products is arranged directly between buyers and sellers. Vendcite does not provide, manage, or guarantee delivery services unless explicitly stated.
  • 6.2. Any delivery timelines, costs, or logistics are agreed upon between the buyer and seller. Vendcite is not responsible for delays, losses, or issues related to delivery.

7. Returns & Refunds

  • 7.1. All returns, exchanges, and refunds are handled directly between buyers and sellers. Vendcite does not mediate or guarantee returns or refunds unless explicitly stated.
  • 7.2. Buyers and sellers are responsible for agreeing on the terms and process for any returns or refunds.
  • 7.3. Vendcite is not liable for any disputes, losses, or issues arising from returns or refunds between buyers and sellers.

8. User Conduct

  • 8.1. You agree to use Vendcite responsibly and not:
    • Post false, misleading, or illegal content
    • Attempt to interfere with the Platform’s operation
    • Engage in fraud, harassment, or other harmful behavior
    • Use WhatsApp, in-app chat, or any other communication channel provided by Vendcite for abusive, illegal, or prohibited activities
  • 8.2. Vendcite may suspend or restrict access to users who violate these rules, including misuse of communication channels.

9. Intellectual Property

  • 9.1. Vendcite owns all rights, titles, and interest in the Platform, including logos, design, software, and content.
  • 9.2. You may not copy, reproduce, or distribute any material from the Platform without prior written permission.

10. Privacy

  • 10.1. Vendcite processes personal data in accordance with our Privacy Policy.
  • 10.2. By using Vendcite, you consent to our collection and use of your personal data as described in the Privacy Policy.

11. Limitation of Liability

  • 11.1. Vendcite provides the Platform “as is” and is not responsible for any aspect of the transaction, product, payment, delivery, or communication between buyers and sellers.
  • 11.2. Vendcite does not guarantee product quality, safety, legality, delivery, or fulfillment of any transaction.
  • 11.3. Vendcite is not liable for indirect or consequential losses, including loss of revenue, profit, or reputation, or for any disputes between buyers and sellers.

12. Force Majeure

  • 12.1. Vendcite is not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, strikes, or internet outages.

13. Termination

  • 13.1. Vendcite may suspend or terminate your access at any time for violations of these Terms or applicable laws.

14. Governing Law & Dispute Resolution

  • 14.1. These Terms are governed by the laws of the Federal Republic of Nigeria.
  • 14.2. Any disputes shall be resolved first through negotiation, and if unresolved, by arbitration or the competent courts of Nigeria.

15. Indemnification

You agree to indemnify and hold harmless Vendcite, its affiliates, and partners from any claims, losses, or damages (including legal fees) arising from your use of the Platform, your violation of these Terms, or your breach of intellectual property or other rights of third parties.

16. Changes to Terms

Vendcite may update these Terms from time to time. Updates will be effective when posted on the Platform. Continued use of Vendcite after changes means you accept the revised Terms.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, along with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Vendcite regarding the use of the Platform.
