Vendcite Seller Terms & Conditions

These Seller Terms & Conditions (“Agreement”) set out the rules and obligations that apply to all sellers (“you”, “your”, “Seller”) who use Vendcite (“we”, “our”, “us”, “Vendcite”) to list and sell products. By registering as a Seller and listing products on Vendcite, you agree to these Terms & Conditions.
Eligibility & Registration
- To sell on Vendcite, you must create a valid Seller Account and provide accurate business, tax, and banking details.
- You must keep your information up to date at all times.
- Vendcite reserves the right to approve, suspend, or reject Seller Accounts at its discretion.
- You confirm that you are legally able to enter into this Agreement and are over 18 years of age.
Product Listings
- You may only list products that comply with applicable laws, regulations, and Vendcite policies.
- Counterfeit, illegal, unsafe, or prohibited items are strictly forbidden.
- Product descriptions, images, prices, and stock availability must be accurate, complete, and not misleading.
- Vendcite may remove, suspend, or delist any product that violates these rules.
Orders, Fulfillment & Logistics
- Once a customer places an order, you are responsible for ensuring the product is properly packaged and delivered to Vendcite’s approved logistics providers.
- Vendcite may provide fulfillment services through third-party logistics partners.
- You must comply with delivery timelines communicated to customers.
- In cases of delays or failure to deliver, Vendcite reserves the right to take corrective action, including notifying customers, arranging alternative fulfillment, and deducting costs from your account.
Payments & Fees
- All payments are processed through third-party payment providers.
- Vendcite will deduct applicable commissions, transaction fees, service charges, and refunds before transferring your payout.
- Payouts are made to the Seller’s registered bank account according to Vendcite’s payment cycle.
- You are responsible for all taxes, duties, or other statutory obligations related to your sales.
- Vendors cannot withdraw earnings until the expiration of the applicable customer return policy period. This ensures that refunds, if any, can be processed before release of funds.
Returns, Refunds & Cancellations
- You must comply with Vendcite’s Return & Refund Policy.
- If a customer returns a product due to being defective, counterfeit, or not as described, you bear the cost of the return and refund unless otherwise agreed.
- Vendcite reserves the right to deduct refund amounts directly from your account balance if necessary.
- For disputes regarding returns or refunds, Vendcite may mediate and make the final decision.
- Returned products must comply with all applicable laws, hygiene, and safety standards.
Seller Obligations
- Supply only genuine, high-quality products.
- Comply with consumer protection, tax, and e-commerce laws.
- Maintain professional and timely communication with customers.
- Do not engage in fraudulent, deceptive, or misleading practices.
- Maintain sufficient stock to fulfill confirmed customer orders.
Vendcite’s Rights
- Vendcite may suspend or terminate your account for breaches of these Terms, applicable laws, or Vendcite policies.
- Vendcite may remove or delist products that are illegal, unsafe, or non-compliant.
- Vendcite may update fees, policies, or processes at its discretion, providing notice where required.
- Vendcite may suspend or restrict access to the marketplace during maintenance, updates, or force majeure events.
Intellectual Property & Content
- You confirm that you own or have the legal right to sell the products listed.
- By listing products, you grant Vendcite a worldwide, non-exclusive, royalty-free license to use your product images, descriptions, and brand materials for marketing and promotional purposes.
- You warrant that your product listings do not infringe on third-party intellectual property rights.
- You indemnify Vendcite for any claims, losses, or damages arising from your breach of intellectual property rights.
Limitation of Liability & Indemnification
- Vendcite provides the marketplace platform but is not responsible for the quality, legality, or safety of products you sell.
- Vendcite is not liable for indirect or consequential losses, including loss of profits, revenue, or reputation.
- You indemnify and hold Vendcite harmless against all claims, losses, or damages arising from:
- Your products, listings, or conduct;
- Misuse of customer data;
- Violation of laws or third-party rights;
- Taxes, duties, or fees related to your sales.
Force Majeure
- Vendcite shall not be liable for any failure or delay in performing its obligations caused by events beyond its reasonable control, including natural disasters, cyberattacks, pandemics, strikes, or government actions.
Dispute Resolution
- Sellers and customers should first attempt to resolve disputes through negotiation.
- If unresolved, disputes may be escalated to Vendcite for mediation.
- Unresolved disputes may be submitted to arbitration or the competent courts of the Federal Republic of Nigeria.
Data Privacy & Compliance
- You must handle customer data responsibly and in compliance with the Nigeria Data Protection Regulation (NDPR) and other applicable laws.
- Vendcite processes personal data according to its Privacy Policy.
- Any misuse of customer data by a seller is the seller’s responsibility.
Termination
- You may close your Seller Account at any time by written notice.
- Vendcite may suspend or terminate your account immediately in cases of fraud, non-compliance, illegal activity, or repeated policy violations.
- Pending orders and payouts will be handled according to Vendcite policies in case of termination.
Governing Law
- These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved first through negotiation, then through arbitration or competent Nigerian courts.
Prohibited Conduct
- You must not manipulate product reviews, ratings, or create fraudulent buyer/seller accounts.
- Do not attempt to circumvent fees, commissions, or policies.
- Do not list prohibited items (weapons, illegal goods, or other items prohibited by law or Vendcite policy).
- Abusive, harassing, or discriminatory behavior towards buyers, Vendcite staff, or partners is strictly prohibited.
Account Security
- You are responsible for maintaining the security of your Seller Account credentials and for all activity that occurs under your account.
- Promptly notify Vendcite if you suspect unauthorized access or a security breach.
- Vendcite may require multi-factor authentication and other security measures; failure to comply may result in account restrictions.
Vendor Performance Standards
- Sellers are expected to meet reasonable performance standards including on-time dispatch, low cancellation rates, and low return rates.
- Vendcite may publish specific KPIs (e.g., on-time shipping percentage) and reserve the right to take corrective action if standards are not met.
- Persistent underperformance may result in penalties, reduced visibility, suspension, or termination of the Seller Account.
Modification of Terms
- Vendcite may modify these Terms from time to time. We will provide notice where required by law or where changes are material.
- Continued use of the platform after changes constitutes acceptance of the updated Terms.
Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed and the remainder of the Terms will remain in full force and effect.
Prohibited & Restricted Products
- You must not list or sell any products prohibited under Nigerian law, international law, or Vendcite’s Prohibited Products Policy.
- Restricted categories (e.g., alcohol, medical devices, food, supplements) may require prior approval.
- Vendcite reserves the right to delist, suspend, or report any prohibited listings.
Anti-Money Laundering & Fraud Prevention
- Sellers may not use Vendcite for money laundering, terrorism financing, or fraudulent activities.
- Suspicious transactions may be reported to authorities without notice to the seller.
- Vendcite reserves the right to freeze or withhold payouts during investigations.
Suspension, Investigation & Withholding
- Vendcite may suspend or restrict your Seller Account during investigations of fraud, returns abuse, or policy violations.
- Payouts may be withheld until investigations are completed.
- If violations are confirmed, funds may be forfeited to cover customer refunds or damages.
Third-Party Services
- Vendcite integrates with payment processors, logistics providers, and third-party apps.
- Use of these services is subject to their terms, and Vendcite is not liable for issues arising from them.
- Sellers must comply with all third-party requirements for payments, deliveries, or integrations.
Entire Agreement & Waiver
- These Terms constitute the entire agreement between you and Vendcite and supersede prior agreements.
- Failure by Vendcite to enforce any provision does not waive its rights to enforce that provision in the future.
